Our client, an ambitious and growing law firm in Oman offering a broad range of legal services to corporate and individual clients, is seeking an experienced legal professional to join its expanding practice.1. Job responsibilities:Private Equity (PE)• Fund Formation & Governance:o Lead GP/LP agreement negotiations.o Structure secondary funds, continuation vehicles, and co-investment funds.o Advise on management company governance, board compositions, and regulatorycompliance.• Portfolio Company Transactions:o Handle add-on acquisitions, carve-outs, and restructurings for PE-backed companies.o Standardize legal documentation for repeatable PE transactions.• Client Relationships:o Primary advisor to top-tier GPs.o Engage sovereign wealth funds & institutional LPs.M&A• Leveraged Buyouts & Restructurings:o Lead LBOs, debt financings, and portfolio company restructurings.o Advise on distressed asset acquisitions, special situations, and turnaround strategies.o Structure tax-efficient deals.• Cross-Border & Complex Transactions:o Manage multi-jurisdictional M&A (US-EU, Asia-Pacific, Middle East).o Navigate regulatory hurdles (CFIUS, EU Merger Control, China NDRC, competition law).• Client Relationships:o Work with strategic buyers, financial sponsors, and private equity-backed sellers.o Drive repeat business through post-deal support and restructuring advisory.Capital Markets Division• IPOs & Public Offerings:o Lead IPOs, direct listings, and follow-on offerings for PE-backed portfolio companies.o Ensure compliance with securities laws.• Secondary & Private Placements:o Execute secondary sales, private placements, and block trades.o Advise on liquidity events for LPs and portfolio company shareholders.• Client Relationships:o Engage investment banks, broker-dealers, and institutional investors.o Build long-term relationships with PE firms seeking capital markets exits.2. Responsibilities:• Practice Growth & Business Development (BD):o Develop and execute targeted BD strategy for PE, M&A, and capital markets.o Secure multi-jurisdictional mandates.o Leverage firm’s network to expand client base.• Thought Leadership:o Author high-impact legal insights (whitepapers, client alerts, articles).o Speak at industry conferences (ILPA, LPAA, PEI, CFA Institute, IFC events).o Shape legal/regulatory frameworks through policy engagement.• Team Leadership:o Recruit, mentor, and retain top legal talent in PE, M&A, and capital markets.o Foster high-performance culture with clear KPIs and professional development.o Optimize resource allocation for maximized billable utilization and profitability.3. Requirements• 7–12 years of relevant experience• A Bachelor’s degree in Law (LL.B. or equivalent) from a recognised university.• Candidates qualified in jurisdictions such as England & Wales, Australia, New Zealand,Canada, Hong Kong, Singapore or other recognised Common Law jurisdictions will beconsidered.• An additional postgraduate qualification (LL.M. or equivalent) in Banking & Finance,Corporate Law, Commercial Law or a related field would be an advantage.• Proven track record leading transactions across PE, M&A, and capital markets.• Deep expertise in:o PE: Fund formation, GP/LP agreements, portfolio company transactions.o M&A: LBOs, carve-outs, distressed assets, cross-border deals.o Capital Markets: IPOs, secondary offerings.• Strong client management with PE firms, LPs, and financial sponsors.• Languageso Fluent English - mandatoryo Arabic - preferred.
