Manager Governance

About the role

OQ is looking for a Manager Governance in Muscat, reporting to the VP Legal and leading two direct reports. The role leads and manages the corporate governance function across OQ Group, advising management, overseeing subsidiary governance and monitoring alignment with regulatory and shareholder requirements.

Key responsibilities

• Develop the governance function strategy, objectives and annual plan, and maintain the Group Corporate Governance Framework
• Own the enterprise governance framework across OQ Group and its subsidiaries, including reserved matters, reporting obligations and shareholder oversight
• Develop, approve and maintain governance policies, procedures, standards, charters and delegation of authority frameworks
• Advise on governance implications of restructuring, new entities, ownership changes and major corporate initiatives
• Oversee governance compliance, assurance, maturity and reporting, including governance dashboards and executive presentations
• Build relationships with regulators, shareholders, Board Committees and senior stakeholders
• Manage governance resources, budgets and workload, and lead governance transformation and continuous improvement
• Lead, coach and develop governance professionals and coordinate with the Board Secretariat

Required profile

• Bachelor's degree; a law degree is a plus
• Exceptional written, spoken and reading English and Arabic
• Minimum 8-10 years in a similar role, preferably in energy/oil and gas or a holding company with subsidiary oversight
• Experience with governance frameworks, policies, delegations of authority and committee structures in large organizations
• Experience engaging with executive management, boards, regulators and external stakeholders
