Legal Expert – Sovereign Debt Management

About the role

The Ministry of Finance is seeking a Legal Expert to provide specialised advice to the Debt Management Office on all matters related to sovereign debt. You will ensure that domestic and international debt issuances, financing agreements and liability‑management operations comply with Omani law and international market practices, protecting the State’s legal and financial interests.

Key responsibilities

• Advise on sovereign debt issuances, including bonds, Sukuk, loans and other financing instruments.
• Draft, review and negotiate legal documentation for debt transactions.
• Assess prospectuses, offering circulars and programme documentation for compliance with disclosure, risk and regulatory requirements.
• Evaluate term sheets, guarantees and comfort letters for Government‑Related Entities seeking sovereign support.
• Ensure transaction structures meet Omani legislation, regulatory standards and international market norms.
• Conduct legal due‑diligence, verify conditions precedent and confirm documentation completeness.
• Review external legal opinions and ensure adequate coverage of material terms.
• Support closing mechanics, signature processes and delivery of final documents.
• Monitor legal and regulatory developments affecting sovereign borrowing and brief DMO leadership.
• Coordinate with the Central Bank of Oman and other oversight bodies as required.

Required profile

• Law degree with strong background in sovereign debt or public finance law.
• Demonstrated experience drafting and negotiating complex financial documentation.
• In‑depth knowledge of Omani legislation, public debt law and relevant regulatory frameworks.
• Familiarity with international market standards and cross‑border regulatory compliance.
• Ability to analyse legal opinions, assess risks and provide clear, actionable advice.
