Senior Associate – Corporate & M&A (Legal)

About the role

Our client, an emerging law firm in Oman, is expanding its Corporate & M&A practice and seeks a Senior Associate to lead and support complex domestic and cross‑border transactions. The role involves close collaboration with partners and the commercial team, covering a broad range of corporate, investment fund and joint‑venture matters.

Key responsibilities

• Advise clients on acquisitions, disposals, investments and joint ventures, both locally and internationally.
• Draft, review and negotiate transaction documents such as Share Purchase Agreements, Shareholder Agreements and JV agreements.
• Conduct and manage legal due diligence for corporate and M&A deals.
• Structure and execute transactions for private equity, venture capital, real‑estate and infrastructure funds.
• Prepare and negotiate fund documentation including Limited Partnership Agreements, subscription agreements and management fee arrangements.
• Support fund lifecycle events – launches, capital calls, distributions and transfers.
• Provide regulatory and compliance advice for investment funds and asset managers.
• Collaborate with partners on energy, renewable‑energy and infrastructure projects where relevant.

Required profile

• Qualified lawyer under a Common Law jurisdiction.
• Approximately 8+ years post‑qualification experience, preferably in a reputable law firm.
• Strong background in Corporate & M&A, with exposure to cross‑border transactions.
• Experience advising investment funds, private‑equity investors or institutional investors is highly advantageous.
• Prior work in the GCC – especially Oman, UAE, Saudi Arabia or Qatar – is preferred.

• Drafting and negotiating complex transaction documents (SPAs, SHAs, JV agreements).
• Legal due diligence management.
• Fund documentation preparation (LPAs, subscription agreements, management fee structures).
• Transaction structuring for M&A, investments and joint ventures.
